Lester Timothy is a Consultant of Adriaans Attorneys. He advises on all aspects of South African corporate and commercial law including listings, mergers and acquisitions, corporate finance, establishment of new businesses, property-related transactions, and broad-based black economic empowerment transactions. His wealth of proven knowledge and expertise in the corporate and commercial legal sphere, as well as in the Municipal and Provincial government spaces allows him to assist any organisation from a legal perspective.

  • Advising international and national energy companies on structuring its group in South Africa in compliance with the Department of Energy’s renewable energy programme in the establishment of Solar PV and Wind Energy renewable energy projects
  • Advising renewable energy clients on Broad Based Black Economic Empowerment (BBBEE) requirements in the Department of Energy’s renewable energy programme
  • Advising project companies and international holding companies on BBBEE legislation and sector codes in renewable energy projects
  • Negotiating share acquisition deals with Black Economic Empowerment (BEE) partners in renewable energy projects
  • Establishing BBBEE Community Trusts, including the drafting of Trust Deeds and registering the Trusts at the relevant office of the Master of the High Court in renewable energy projects and oil & gas/petrochemical field
  • Negotiating and drafting EPC and O&M contracts on behalf of project companies in renewable energy projects
  • Negotiating and drafting Lease and Lease Option Agreements with landowners in renewable energy projects
  • Advising project companies on land related aspects and risks in renewable energy projects, including the bankability of leases, etc.
  • Establishing and registering companies in renewable energy projects;
  • Drafting and negotiating share sale, sale of business and shareholders agreements in renewable energy projects;
  • Providing regulatory advice in relation to, amongst others, the Companies Act (2008), Broad-Based Black Economic Empowerment Act (and codes), Preferential Procurement Policy Framework Act (and related procurement legislation and Regulations); Exchange Control Regulations and Petroleum Products Act; and conducting and managing numerous due diligence investigations for international energy holding companies in the acquisition of share capitals of project companies in renewable energy projects and in the petrochemical and oil & gas field
Lester began his career in 2004 as a Candidate Attorney at Greyvensteins Attorneys. He was appointed as an Associate in 2006 became a Senior Associate in 2007 and a Director in 2015. In 2016 Lester commenced practicing for Adriaans Attorneys as a Consultant.
